GENERAL TERMS AND CONDITIONS

  1. General information
  • These General Terms and Conditions apply to the provision of language courses for natural and legal persons designed by language studio Euphema, namely by Mgr. Marián Herud – Language Studio Euphema, holding a trade license in the field of foreign language teaching, interpreting and translation, registered in the Trade Register No. 560-15324, District Office Námestovo, and by Mgr. Miriama Herud, holding a trade license in the field of foreign language teaching, interpreting and translation, registered in the Trade Register No. 860-19213, District Office Spišská Nová Ves, on the premises of the language studio or on the external premises of the Client.
  • These Terms and Conditions specify the rights and obligations of language studio Euphema represented by Mgr. Marian Herud and Mgr. Miriama Herud (hereinafter the “Service Provider”) on one hand and the Client enrolled in a group or one-to-one course that is a natural or legal person, or a legal representative of the Client who is a natural person under 18 years of age (hereinafter the “Cient“). The General Terms and Conditions are an integral part of the contractual relationship between the Service Provider and the Client.
  • Special arrangements between the Service Provider and the Client are possible and take precedence over the provisions set out in these Terms and Conditions only if they are properly described and agreed upon by both parties.
  • These Terms and Conditions as well as the prices of language courses are and will be published on the webpage euphema.sk (hereinafter the “Webpage“).
  1. Activities of language studio EUPHEMA
  • Language studio Euphema offers its clients language courses for children and adult natural or legal persons, that involves foreign language teaching, either one-to-one or in small groups, according to the current offer published on the Webpage of the Service Provider. The Service Provider reserves the right to make changes in the language courses promoted on their Webpage euphema.sk.
  • Further activities offered by the language studio include individualized language coaching, tutoring, exam preparation, language diagnosis and complex language solutions for natural and legal persons.
  • Language studio Euphema provides foreign language teaching in semester system; 1 school year consists of two semesters, the first of which is from the third Monday of September to 31 January and the second from 1 February to 30 June of the calendar year. By mutual agreement, it is possible to shorten the courses or extend them over the summer months.
  • Each language course shall end with the expiry of the last day of the course, unless otherwise specified in a written agreement.
  • Language courses are categorized according to the following criteria:
    1. language
    2. age group
    3. level of language skills
  • In order to launch a group course, the minimum of two (2) clients must be enrolled. If the specified minimum number of clients do not enroll in a particular course, the Service Provider reserves the right not to launch the course.
  • The maximum number of clients in a group course is five (5).
  • If the enrolled Client misses four (4) consecutive lessons without stating a reason, the Service Provider shall assume that the Client is no longer interested in attending the group course and has the right to enroll another client. The Client in question shall not be entitled to a refund of the course fee, since their unjustified long-term absence is considered a violation of the Terms and Conditions of language studio Euphema.
  1. Signing a contract
  • The contractual relationship between the Service Provider and the Client is established by filling out the binding course application, either paper or online, and by signing or checking the appropriate box, thereby agreeing with the Terms and Conditions of the language studio.
  • The Client is entitled to withdraw from the contract no later than 3 working days before the commencement of the course. This shall be done by email or by filling out the form on the Webpage.
  • If, due to exceptional circumstances on the part of the Service Provider, the contract is not concluded, the representatives of the language studio shall forthwith notify their clients or their legal representatives, and the Service Provider is obligated to refund the paid course fees, unless another language course suitable for the Client is found.
  1. Language courses, lesson length and number of lessons
  • All language courses run throughout the school year as stated in clause 2.3 hereof.
  • The length of one session (lesson) is 45, 60 or 90 minutes, as agreed with the Client. No breaks shall be taken during lesson.
  • Language courses do not run during public holidays, weekends and school holidays.
  1. Language course prices, payment terms
  • Language course prices are set out in the price list on the Webpage. The price for a one-to-one lesson is listed on the Webpage and applies solely to clients taking courses on the premises of the language studio. The payment can be made on the day the course is launched, either in full or in installments. The number and due-date of the installments are subject to the agreement between the Client with the Service Provider. Language course price is deemed to be paid on the day the money is paid in cash to the representatives of language studio Euphema or credited to bank account no. (the bank account number shall be provided).
  • The price of courses held on the Client´s premises is subject to the price offer and subsequent agreement between the Service Provider and such Client, taking into account the transfer of the Service Provider and other aspects.
  • Textbooks, teaching aids and other materials for the Client are not included in the course price that is stated on the Webpage.
  • As soon as the Contract has been signed, the money paid for the language course shall not be refunded to the Client for any reason, except for reasons of cancellation of the language course by language studio Euphema, and only the proportion of lessons unused for this reason, and only if a course substitution or a substitution of the unused lessons have not been provided to the Client.
  1. Lesson cancellation and cancellation fees
  • The Service Provider is not entitled to unreasonably cancel lessons. If the assigned language coach is not able to teach a particular lesson, the language studio shall provide an adequate substitution of the language coach with another one. If the time or other circumstances do not allow that either, the lesson shall at all times be rescheduled based on an agreement with the Client.
  • In case the Client who attends a group course misses a lesson, the Service Provider is not obligated to give him any financial compensation.
  • If all of the Clients attending a particular group course miss a particular lesson, this lesson shall be regarded as taught.
  • Client will be charged the cancellation fee of 50% of the lesson price for canceling at least 24 hours prior to the lesson. However, if the individual Client cancels a lesson later than 24 hours prior to the lesson, they will be charged a cancellation fee of 100% of the lesson price.
  • Canceled and taught lessons of all clients, either individual or in groups, shall be recorded in an electronic attendance sheet and provided on request for inspection.
  • No cancellation fee shall be charged if a language coach and their Client agree on a makeup lesson on an alternative date. A language coach is not obligated to reschedule a lesson canceled by the Client. A makeup lesson might be arranged only if both parties are able to find a mutually convenient time.
  • It is not permitted to bring the canceled lessons from one semester to the following one.
  • Language coach is obligated to wait for the Client for the minimum of 15 minutes after the lesson began. If the Client does not show up within this time period and fails to notify their language coach, the language coach shall assume that the Client does not intend to come and therefore shall deem the lesson canceled later than 24 hours prior to the lesson and thus charge a cancellation fee of 100% of the lesson price.
  1. Contract withdrawal
  • Language studio Euphema is entitled to withdraw from the contract if:
    1. the minimum number of clients in a group course is not met
    2. the Client’s conduct endangers the health or property of the other course participants or Euphema staff
    3. the Client fails to pay the agreed course fees when due.
  • The Contract can be terminated by either of the parties in writing (by email or by filling out the form on the Webpage) with one month´s notice period that starts on the day of notifying the other party of the termination.
  • In case of any complaints on the part of the Client, it is necessary to report these without delay in writing (by email to [email protected]); however, no later than 14 working days after the commencement of the language course. The commencement of a language course is considered the first lesson of a given semester. If a complaint is reported later than required, the Client forfeits the right to make a claim for compensation for their dissatisfaction.
  1. Liabilities
  • Language studio Euphema bears no responsibility for the Client not achieving their specific language targets related to the language course and potential damages resulting from it. Language studio Euphema shall not be liable for the cancellation of language courses by reason of unforeseeable circumstances.
  1. Final provisions 
  • Language studio Euphema reserves the right to unilaterally change the General Terms and Conditions as well as course fees listed on euphema.sk. The changes made will be published on www.euphema.sk.
  • In the case of disputes arising from the Contract or these Terms and Conditions, both parties undertake to settle them by finding a mutually agreed solution.

These Terms and Conditions shall enter into force on 05.08.2019.
